1. General
1.1 The following terms of use (Terms of Use) shall regulate the use of the landing page www.unloq.ai (Platform). The Platform shall be constituted by whatsoever documents available through the domain www.unloq.ai.
1.2 The Terms of Use are available within the Platform under the address https://unloq.ai/page/terms-of-use.
1.3 The Platform’s owner and administrator is CV Keskus OÜ (registry code: 11325768, registered address: A. H. Tammsaare tee 56, Tallinn, 11316) (CV Keskus).
1.4 User of the Platform is every person, who has a registered account on the Platform (User).
1.5 The prerequisite for the use of the Platform is consenting to the Terms of Use. If the User does not consent to the Terms of Use, the User shall not have the right to use the Platform. The User shall only have the right to use the Platform in conformity with the Terms of Use.
1.6 When proceeding to use the Platform, the User is understood to have concluded an agreement (Agreement) with CV Keskus, the conditions whereof are contained in these Terms of Use.
1.7 The Platform offers different services (Services). In case User and Platform agree on additional conditions for using a Service, the Terms of Use shall regulate the use of the Service insofar as they are not in contradiction with additional conditions.
2. The use of the Platform
2.1 The Platform enables Users to build a free AI talent profile and accept projects (Service Contracts) offered by other persons (Clients).
2.2 Use of the Platform is free for the User.
2.3 The Platform is exclusively a technical solution, through which Users can publish their profiles and accept Service Contract offers from Clients. The Platform shall not participate in negotiations between the User and the Client, nor shall it mediate the execution of the Service Contract. The Platform is not a party to the Service Contract, and it shall in no case be responsible for the fulfillment of the Service Contract. The use of the Platform does not guarantee finding Service Contracts for the User.
2.4 The Platform neither performs nor employs Users to perform Services.
2.5 The Platform does not supervise, direct, control or monitor Users in the performance of any obligations they may have under the Service Contract.
2.6 The Platform has not studied the background of any User nor will it give any confirmation on the correctness of the data provided by the User or published by the User. The Platform encourages Users to study the background of the other party to the Service Contract before accepting the offer and vice versa.
2.7 The Platform shall not be responsible for the data or documents (including works) entered by the User to the Platform. The sole responsibility for the data or documents entered by the User and their correctness and legality shall be exclusively borne by the User. User shall have the right to enter only such data or documents, which are correct and do not infringe on the rights or interests of the Platform, CV Keskus or any third party.
2.8 CV Keskus shall use its best endeavors to ensure that the Platform would be constantly available and usable. However, CV Keskus shall not be responsible for whatsoever interruptions in the work of the Platform or for any damage incurred through any interruptions.
3. User Account
3.1 In order to use the Services, it is obligatory to register and maintain an active account on the Platform (User Account).
3.2 In order to create an User Account, User must fill out an application on the Platform and confirm their consent to the Terms of Use.
3.3 User Account is meant for use of the intended User only. User shall not be permitted to allow third parties to use the User Account or to use the User Account for the benefit of a third person. User may not transfer the User Account to a third person.
3.4 CV Keskus reserves the right to partially or totally suspend the use of the User Account or delete the User Account if the data related to the User Account is incorrect or if the User uses the User Account in a manner which is in contradiction with the Terms of Use or with any applicable legislation.
3.5 Users are prohibited from using the Platform with the intention of posting fraudulent content, misleading others regarding the level of their expertise or engaging in any illegal or unethical activities. Such actions include but are not limited to: (i) Misrepresenting one’s skills, qualifications, or work experience, (ii) posting or delivering prohibited, inappropriate or offensive content, (ii) violating any applicable laws or regulations, and (iv) infringing upon the rights of others.
3.6 All actions performed on the Platform by the User Account shall be deemed to have been performed by the User. The User is responsible for all actions performed, including any damage caused, by using the User Account.
4. Client Account
4.1 In order to request a fee quote for a Service Contract and enter into a Service Contract with an User, all interested persons must create an account on the Platform (Client Account).
4.2 In order to create a Client Account, persons must fill out an application on the Platform and confirm their consent to the Terms of Use.
4.3 CV Keskus reserves the right to partially or totally suspend the use of the Client Account or delete the Client Account if the data related to the Client Account is incorrect or if the Client Account is used in a manner which is in contradiction with the Terms of Use or with any applicable legislation.
4.4 If a Client Account enters into a Service Contract with a User Account, then the contract is a contractual relationship directly between the respective Client and User. The Platform is not responsible for and is not a party to the Service Contract and under no circumstances will any such contract create an employment or any service relationship between the Platform and any user (Client or User).
5. Transactions
5.1 All transactions and communication connected to a Service Contract between a Client and a User must be conducted through the Platform. Any attempt to perform transactions outside of the Platform is strictly prohibited and may result in the immediate termination of the Account.
6. Applicability of the Agreement
6.1 The Terms of Use of this Agreement shall enter into force after the Account is registered on the Platform and shall remain in force until the Account is terminated.
6.2 CV Keskus reserves the right to, at its sole discretion, change the Terms of Use of this Agreement at any time. Notification of any such change may be provided by the contact details provided in the Account.
6.3 Any changes in the Terms of Use shall become effective immediately upon their publication on the Platform.
6.4 In the case a User disagrees with the changes in the Terms of Use, the User reserves the right to terminate their Agreement within 15 (fifteen) days as from the publication of the changed Terms of Use on the Platform by sending respective written notice. In the case the User fails to terminate their Agreement within the term specified in this clause or the User continues to use the Services before the elapse of the term, the User is considered to have read and accepted the changes in the Terms of Use.
7. Final clauses
7.1 The Platform reserves the right to suspend or terminate any User Account or Client Account without notice if we determine that a violation of the Terms of Use has occurred.
7.2 CV Keskus shall not be responsible for whatsoever damage occurring to the User, the Client or any third party in connection with the use of the Platform and its Services.
7.3 In the event of any conflict or inconsistency between these Terms of Use and any other associated documents, including, but not limited to the Privacy Policy or any supplemental agreements, these Terms of Use shall prevail to the fullest extent permitted by law.
7.4 CV Keskus processes the User’s personal data pursuant to the Privacy Policy of Unloq, available here: https://unloq.ai/page/privacy-policy.
7.5 Any inquiries shall be submitted and resolved in English.
7.6 The Terms of Use shall be governed by the law of the Republic of Estonia.
7.7 Disputes arising from the Terms of Use or the use of the Platform shall be settled by way of negotiations. In case no settlement is reached, the dispute shall finally be settled in Harju County Court in Tallinn, the Republic of Estonia.
